Terms of use and sale.

These terms govern the use of liveliz.io and the subscription to the LiveLiz service by professionals. LiveLiz is a business-to-business (B2B) service.

1. Purpose and scope

These terms govern (i) the use of liveliz.io and (ii) the subscription to and use of the LiveLiz service, published by STUDIO 7 (SARL), 32 Chemin du Puy Blanc, 42170 Saint-Just-Saint-Rambert, France.

LiveLiz is a software-as-a-service (SaaS) solution for remote video selling, optionally with a hardware kit (cameras and a control unit). The service is reserved for professionals acting in the course of their business; no consumer provisions apply.

Any subscription implies unconditional acceptance of these terms, which prevail over any client document.

2. Definitions

"Client": the professional company (house) subscribing to the service. "User": any person authorised by the Client. "Visitor": the end customer invited by the Client to a video session.

"Service": the LiveLiz application (commercial live, AI Replay, follow-up) and, depending on the plan, the showroom hardware. "Showroom": the billing unit corresponding to a controllable point of sale / installation.

3. Description of the service

LiveLiz lets you run branded commercial video sessions, enrich them (AI Replay, customer follow-up) and, for equipped plans, control an HD showroom remotely.

The maximum number of guests per session is set by the plan (currently 3 guests). The exact features of each plan are described on the Pricing page.

4. Sign-up, account and free trial

Subscription is completed online at app.liveliz.io. The Client warrants the accuracy of the information provided and the confidentiality of its credentials.

The LiveLiz Start plan includes a 15-day free trial, no credit card required. After the trial, the service is suspended unless a paid subscription is taken out.

5. Plans and pricing

Prices are stated in euros, excluding tax (VAT added where applicable). The current grid is published on the Pricing page and prevails.

LiveLiz Start: €59 excl. tax / month, 1,000 included minutes, 1 showroom, no hardware.

LiveLiz Showroom (hardware kit included, per showroom): €199 excl. tax / month (1 camera, 2,000 min), €249 (2 cameras, 3,000 min), €299 (3 cameras, 4,000 min).

LiveLiz Corporate: multi-site, more than 3 cameras, SLA and CRM/API integrations — on quotation, governed by a framework agreement.

STUDIO 7 may change its pricing; any change is notified and applies from the next billing cycle.

6. Billing, payment and no commitment

The subscription is monthly, payable in advance by direct debit via our payment provider Stripe. Invoices are issued electronically.

Subscriptions have no minimum term: they renew monthly by tacit renewal and may be cancelled at any time, with effect at the end of the current cycle.

Late payment may lead to suspension of the service and to penalties at the legal rate applicable between businesses, plus the €40 flat-rate recovery fee.

7. Included minutes and usage

Each plan includes a monthly volume of session minutes. Overage is not automatically charged.

Where usage is sustainably above the plan, STUDIO 7 may invite the Client to upgrade or apply a reasonable limitation, after prior notice.

8. Hardware provided and security deposit

For Showroom plans, the hardware (cameras, control unit) is made available to the Client for the duration of the subscription and remains the property of STUDIO 7.

A security deposit is required at activation (€900 for 1 camera, €1,200 for 2 cameras, €1,500 for 3 cameras), refunded after the hardware is returned in good working order.

The Client is responsible for the entrusted hardware (proper use, loss, theft, damage beyond normal wear). After-sales service and replacement of faulty hardware are provided on reasonable terms.

9. Term, cancellation and return

The contract starts on subscription and continues while the subscription is active. Either party may cancel at any time, free of charge, with effect at the end of the current monthly cycle.

In the event of a serious breach (notably non-payment or abusive use), STUDIO 7 may suspend and then terminate the service after formal notice has remained without effect.

On termination, the Client must return the hardware within 15 days; the deposit is refunded after inspection. The Client may request an export of its data before deletion (see reversibility).

10. Availability and maintenance

STUDIO 7 uses reasonable efforts to keep the service available, without any guarantee of uninterrupted operation except for the Corporate plan with a contractual SLA.

Maintenance may temporarily suspend the service; where possible it is scheduled and announced.

11. Client obligations

The Client agrees to lawful use of the service, to inform its own visitors and, where applicable, to obtain their consent (notably for session recording and AI Replay).

The Client is responsible for the content broadcast and the data it processes via the service towards its visitors, for whom it acts as data controller.

12. Personal data and reversibility

STUDIO 7 processes personal data in accordance with its Privacy Policy. For visitor data processed via the service, STUDIO 7 acts as the Client's processor.

At the end of the contract, the Client may request an export of its data in a standard format before deletion within the periods set out in the Privacy Policy.

13. Intellectual property

The LiveLiz software, the brand and all elements of the service remain the exclusive property of STUDIO 7. The subscription grants a non-exclusive, non-transferable right of use, limited to the subscription term.

The Client's content (brand, visuals, products) remains its property; it grants LiveLiz the rights strictly necessary to provide the service.

14. Liability and warranties

The service is provided on a best-efforts basis. LiveLiz cannot be held liable for indirect damages (loss of revenue, customers or data attributable to the Client).

Save for gross negligence or wilful misconduct, STUDIO 7's liability is capped at the amounts actually paid by the Client over the twelve months preceding the triggering event.

15. Confidentiality and force majeure

Each party keeps confidential the information exchanged under the contract.

Neither party is liable for a breach resulting from a force majeure event within the meaning of article 1218 of the French Civil Code.

16. Changes to the terms

STUDIO 7 may amend these terms. Clients are informed of substantial changes; continued use constitutes acceptance. Failing acceptance, the Client may cancel as provided above.

17. Governing law and jurisdiction

These terms are governed by French law. Failing amicable resolution, any dispute between professionals falls within the exclusive jurisdiction of the Tribunal de commerce de Saint-Étienne (Commercial Court of Saint-Étienne).
